Who Owns Anthropic? Founders, Investors & Structure (2026)
Anthropic, PBC owns Claude. Anthropic is a private public benefit corporation founded in 2021 by former OpenAI researchers, led by CEO Dario Amodei and President Daniela Amodei. No single shareholder controls it. Its owners are its founders, its employees and outside investors, and Amazon and Google are the biggest strategic backers. An independent Long-Term Benefit Trust appoints most of its board.
As of October 17, 2026, Anthropic is not publicly traded. It confidentially submitted a draft IPO registration (Form S-1) to the SEC on June 1, 2026, but it has not published a public S-1, a ticker or a listing date.

Who founded Anthropic and who runs it
A group of former OpenAI researchers started Anthropic in 2021. Siblings Dario Amodei (CEO) and Daniela Amodei (President) lead it. The other commonly listed co-founders are Jared Kaplan, Jack Clark, Chris Olah, Ben Mann, Sam McCandlish and Tom Brown. Anthropic doesn't publish one official founder list, so outside sources give slightly different counts (seven or eight, depending on who is included).
Founders still hold equity, as do many employees through stock compensation, but Anthropic has never published how much each founder owns. Those numbers will only become public if and when Anthropic files a public S-1, which must list holders of 5% or more and the shares held by directors and executive officers.
The board of directors
Anthropic's company page lists six directors as of October 2026: Dario Amodei, Daniela Amodei, Yasmin Razavi, Reed Hastings, Chris Liddell and Vas Narasimhan. When the Long-Term Benefit Trust appointed Narasimhan, the CEO of Novartis, on April 14, 2026, Anthropic's announcement listed seven directors, including Jay Kreps. Kreps no longer appears on the company page, and Anthropic has not published a separate announcement about his departure.
Neither Amazon nor Google has a seat on the board listed on Anthropic's company page. Their influence comes through commercial agreements and their economic stakes, not board control.
How Anthropic's ownership structure works
Public benefit corporation (PBC)
Anthropic is a Delaware public benefit corporation. Its stated purpose is “the responsible development and maintenance of advanced AI for the long-term benefit of humanity.” A PBC still has shareholders and can make a profit. The difference is that its directors must weigh that public purpose alongside shareholders' financial interests, rather than maximizing shareholder value alone.
The Long-Term Benefit Trust (LTBT)
- The Trust is an independent body of trustees with no financial stake in Anthropic. It holds a special class of shares (Class T stock) that gives it the power to elect and remove some board members and requires that it be notified of certain major corporate actions.
- When Anthropic announced it in September 2023, the number of seats the Trust controls was set to phase in over time and funding milestones, reaching a board majority within four years. On April 14, 2026, Anthropic said Trust-appointed directors now make up a majority of the board.
- Trustees serve one-year terms, and new trustees are elected by the existing trustees.
- Anthropic's company page lists three current trustees: Neil Buddy Shah (chair), Richard Fontaine and Ben Bernanke, the former Federal Reserve chair, who joined in July 2026.
- Stockholders elect the rest of the board, including a seat elected by Series C and later investors.
The Trust's membership has changed several times. According to the footnotes on Anthropic's original announcement, founding trustees Jason Matheny and Paul Christiano left in December 2023 and April 2024, and Kanika Bahl and Zach Robinson left in January 2026. Mariano-Florentino Cuéllar joined in January 2026, then stepped down on August 4, 2026 to become Anthropic's first Chief Global Affairs Officer. Anthropic said the Trust would choose his successor through its normal process.
Can investors override the Trust?
Partly, and only in narrow circumstances. Anthropic's 2023 explanation says most changes to the Trust arrangement need agreement between the trustees and the board or other stockholders. It also includes “failsafe” provisions that allow changes without the trustees' consent if large enough supermajorities of stockholders agree, and those required supermajorities rise as the Trust's power phases in. Anthropic has not published the exact thresholds.
Because of this structure, owning a large stake in Anthropic does not mean controlling it. Amazon and Google hold large economic stakes, but the Trust and the other stockholders choose the board.
Major investors and reported stakes
Anthropic is private and doesn't publish a cap table. The figures below come from Anthropic and Amazon announcements, and from major outlets where the companies haven't disclosed details. Reported percentages are estimates, not official figures.
| Investor | What has been disclosed or reported |
|---|---|
| Amazon | Official: $8B invested before 2026, plus $5B announced in April 2026 and up to $20B more tied to commercial milestones. Amazon doesn't disclose a percentage. Reporting (Fortune, June 2026): estimated in the mid-to-high teens; an Amazon filing valued its holding at about $74B on paper, split between convertible notes and nonvoting preferred stock |
| Reporting: about 14% in straight equity, contractually capped at 15%, according to court documents described by Fortune. In April 2026 Google committed up to $40B more: $10B in cash up front and up to $30B tied to performance targets (Bloomberg, CNBC) | |
| Microsoft and Nvidia | Official (November 18, 2025): Microsoft agreed to invest up to $5B and Nvidia up to $10B, alongside Anthropic's commitment to buy $30B of Azure compute |
| Series H leads (May 2026) | Official: Altimeter Capital, Dragoneer, Greenoaks and Sequoia Capital, with co-leads Capital Group, Coatue, D1 Capital Partners, GIC, ICONIQ and XN |
| Series G leads (Feb 2026) | Official: GIC and Coatue, with co-leads D. E. Shaw Ventures, Dragoneer, Founders Fund, ICONIQ and MGX |
| Strategic partners | Official: Micron, Samsung and SK hynix joined the Series H |
Of the $65B Series H, $15B came from hyperscaler commitments made earlier, including Amazon's $5B. Anthropic calls AWS its primary cloud and training partner, and it has committed to spend more than $100B on AWS technologies over ten years, according to Amazon. Claude is also available on Google Cloud and Microsoft Azure, which makes it one of the few frontier models offered on all three major clouds.
Why the big cloud companies invest
Most of the money from Amazon, Google, Microsoft and Nvidia comes paired with compute deals. Amazon's April 2026 agreement covers up to 5 gigawatts of Trainium capacity, and Anthropic's Series H announcement also describes 5 gigawatts of next-generation TPU capacity from Google and Broadcom. In practice, a large share of the money invested flows back to the investors as cloud and chip spending. That is one reason these companies take minority stakes without seeking control.

| March 2025 | $3.5B funding round | $61.5B post-money |

| June 1, 2026 | Draft S-1 confidentially submitted to the SEC | Not disclosed |
Revenue has grown alongside these rounds. Anthropic said its run-rate revenue was $14B at the time of the Series G in February 2026 and had passed $47B by May 2026.
Is Anthropic a public company? Can you buy Anthropic stock?
Not yet. On June 1, 2026, Anthropic said it had confidentially submitted a draft Form S-1 for a proposed IPO of its common stock. It said the number of shares and the price had not been set and that the offering depends on market conditions. Anthropic has not announced a ticker, an exchange or a listing date.
- Reporting: In August 2026, Fortune, citing the Financial Times, reported that Anthropic was discussing an IPO as soon as October 2026 at a valuation of around $2 trillion, while noting that the valuation had not been fixed. Anthropic has not confirmed these figures.
- Under SEC rules, a company that files confidentially must make its registration statement public before its roadshow. Until a public S-1 appears on SEC EDGAR, the timing is unconfirmed.
- The public S-1 is also where the details this page can only estimate will appear: exact stakes held by Amazon, Google and the founders, the share classes, and the headcount.
Be wary of “pre-IPO Anthropic shares” sold through unofficial channels. Anthropic's IPO announcement states it is not an offer to sell securities. Check any offer against Anthropic's own announcements and SEC filings.
Indirect ways investors get exposure today
Some people look at public companies with disclosed Anthropic stakes, mainly Amazon (AMZN) and Alphabet (GOOGL). Their Anthropic holdings are small relative to their overall business, so their share prices mostly reflect other things. This is not investment advice, only a description of where the stakes sit.
How many employees does Anthropic have?
Anthropic doesn't publish an official headcount. Third-party trackers give very different estimates (from a few thousand to around 6,000 in 2026) because they count in different ways, for example whether contractors are included. If Anthropic files a public S-1, it will have to disclose its employee count there.
Common misconceptions
- “Amazon owns Anthropic.” Amazon is a large minority investor and Anthropic's primary cloud partner, but it does not control the company or, according to Anthropic's company page, hold a board seat.
- “Google owns Anthropic.” Google's straight equity stake was reported at about 14%, capped at 15% by contract.
- “Anthropic is a nonprofit.” No. It is a for-profit public benefit corporation. The Long-Term Benefit Trust is a governance mechanism, not a nonprofit parent. That is different from OpenAI, whose for-profit company is controlled by a nonprofit foundation. See who owns OpenAI and ChatGPT.
- “Anthropic is part of OpenAI.” No. Its founders left OpenAI, but the two are separate, competing companies.
Does ownership affect what Claude costs or how your data is used?
Not directly. Prices and data terms are set by Anthropic's plans and policies, not by its investors. Investors that resell Claude, such as AWS through Amazon Bedrock or Google Cloud through Vertex AI, set their own terms for those channels, so check the provider's documentation if you use Claude through a cloud platform.
